Contract offer
for the Remote Sale of Goods
(Current version as of 30 September 2025)
This Agreement sets out the rules for ordering, purchase and sale, payment, delivery and return of goods within the online store www.vvide.com.ua (hereinafter – the “Website”).
1. General Provisions
1.1. Individual Entrepreneur Daria Ihorivna Vidova (Taxpayer Identification Number – TIN 3806009860), hereinafter referred to as the “Seller”, offers an unlimited number of persons to enter into this remote sales agreement (hereinafter – the “Agreement”, the “Offer”) in accordance with the Civil Code of Ukraine and the Law of Ukraine “On E-Commerce”.
1.2. This Agreement is a public contract within the meaning of Articles 633 and 641 of the Civil Code of Ukraine. Its terms are the same for all buyers – natural persons, legal entities and individual entrepreneurs – and are not subject to individual negotiation.
1.3. Clicking the “Buy” button, completing the order and making payment constitutes full and unconditional acceptance of this Offer. From that moment an electronic sales agreement is deemed concluded between the Seller and the Buyer under the terms, prices and timelines published on the Website at the time the order was placed.
1.4. The current version of this Agreement is always available on the Website www.vvide.com.ua and takes effect from the moment of publication.
2. Terms and Definitions
2.1. Acceptance – confirmation by the Buyer of agreement with the terms of this Agreement by placing and paying for an order on the Website.
2.2. Buyer – a legally capable individual or legal entity that has placed an order.
2.3. Order – a request created by the Buyer for the purchase of goods, confirmed by payment.
2.4. Goods – women’s clothing offered for sale on the Website by remote means.
2.5. Delivery – transfer of the ordered goods to the Buyer by a third-party carrier service.
2.6. Business day – any day except weekends and public holidays established by the legislation of Ukraine.
2.7. Other terms are interpreted in accordance with the current legislation of Ukraine.
3. Subject of the Agreement
3.1. The Seller undertakes to transfer the selected Goods into the ownership of the Buyer, and the Buyer undertakes to accept and pay for them under the terms of this Agreement.
3.2. This Agreement regulates the entire process of remote sale and purchase: selection of Goods, placement and payment of the Order, delivery and the possibility of return.
4. Order Placement
4.1. Orders are accepted on the Website 24/7.
4.2. The price of the Goods is fixed at the time the order is placed.
4.3. If the ordered Goods are out of stock, the Seller shall inform the Buyer by email or phone. The Buyer may:
4.3.1. wait until the Goods are restocked;
4.3.2. replace them with other goods;
4.3.3. cancel the order.
4.4. If the ordered Goods are unavailable, the Seller shall refund the Buyer the corresponding amount within 1–5 business days after receiving payment and confirming the unavailability.
4.5. The Seller may request additional information necessary to fulfil the order. Failure to provide such information may result in delay or refusal of delivery without the Seller’s liability.
4.6. The Buyer is responsible for the accuracy of contact and payment details provided when placing the order.
5. Prices and Payment
5.1. All prices on the Website are indicated in Ukrainian hryvnias (UAH) and include all taxes provided by the legislation of Ukraine, unless stated otherwise.
5.2. The Buyer may pay for the order in one of the following ways:
5.2.1. online payment by bank card;
5.2.2. bank transfer to the Seller’s current account according to an invoice provided upon the Buyer’s request.
5.3. Orders are dispatched only after full payment has been credited to the Seller’s account. Cash-on-delivery (payment on receipt) is not available.
5.4. The Buyer’s payment obligation is deemed fulfilled when the funds are credited to the Seller’s account. If payment is not received, the Seller has the right to cancel the order without additional notice.
6. Delivery
6.1. Delivery across Ukraine is provided free of charge by Nova Poshta to the branch address specified by the Buyer when placing the order.
6.2. The approximate dispatch period is 3–5 business days after payment confirmation. Force majeure circumstances (including military actions, natural disasters, or acts of government) may extend the delivery period or temporarily limit the provision of services.
6.3. Upon receipt of the goods the Buyer must check their quantity and integrity. Ownership and risk of accidental loss or damage to the Goods pass to the Buyer at the moment the goods are handed over by the delivery service.
6.4. Courier delivery by Nova Poshta to the Buyer’s address is paid by the Buyer.
6.5. After dispatch of the order, an electronic fiscal receipt generated in accordance with Ukrainian law is sent to the email address specified by the Buyer when placing the order. No paper copy of the receipt is provided.
7. Returns and Exchanges
7.1. The Buyer has the right to return or exchange Goods of proper quality within 14 calendar days from the date of receipt.
7.2. Goods to be returned or exchanged must be in their original condition: new, undamaged and unused, with seals, tags and original packaging intact.
7.3. To confirm the purchase the Buyer must provide a document proving payment (electronic fiscal receipt or other payment document).
7.4. The Buyer bears the cost of return shipping, even if the original order was delivered free of charge.
7.5. If the returned goods do not meet the requirements of clause 7.2, the Seller has the right to refuse the return or exchange and to send the goods back to the Buyer at the Buyer’s expense.
7.6. Funds for goods that meet the return requirements are refunded within 1–5 business days after the Seller receives the goods.
7.7. In case of shortages or discrepancies in the order (for example, missing items or unapproved substitutions), the Buyer must notify the Seller no later than 48 hours after receiving the order; claims submitted after this period will not be accepted.
8. Rights and Obligations of the Parties
8.1. Seller’s rights:
8.1.1. change the assortment and prices of goods on the Website;
8.1.2. refuse to fulfil an order if the Buyer breaches this Agreement.
8.2. Seller’s obligations:
8.2.1. deliver goods of proper quality within the agreed time;
8.2.2. provide the Buyer with necessary information about the Goods and confirmation of payment.
8.3. Buyer’s obligations:
8.3.1. provide accurate contact and payment information;
8.3.2. pay for and accept the order in a timely manner.
8.4. Buyer’s rights:
8.4.1. place orders and receive goods of proper quality within the agreed timeframes;
8.4.2. require the Seller to fulfil the terms of this Agreement.
9. Liability of the Parties
9.1. The Parties are liable for failure to perform or improper performance of their obligations in accordance with the legislation of Ukraine.
9.2. The Seller is not liable for:
9.2.1. minor colour variations of goods due to display settings of the device used to place the order;
9.2.2. delays caused by inaccurate contact details or the actions of the carrier;
9.2.3. damage resulting from improper storage or use of goods by the Buyer;
9.2.4. consequences of force majeure events.
9.3. The Seller does not store the Buyer’s payment details.
9.4. A Party that cannot fulfil its obligations due to force majeure must notify the other Party within 48 hours.
10. Personal Data
10.1. By placing an order, the Buyer consents to the collection, processing, storage and use of their personal data for the purpose of fulfilling this Agreement in accordance with the Law of Ukraine “On Personal Data Protection”.
10.2. The Seller may transfer personal data only to third parties involved in the performance of this Agreement (delivery services, payment providers) and in cases required by law.
10.3. The Buyer has the right to withdraw consent to the processing of personal data by sending a request to dv@vvide.com.ua.
11. Other Provisions
11.1. This Agreement is concluded in Ukraine and governed by the legislation of Ukraine.
11.2. The Seller has the right to amend the terms of this Agreement unilaterally by publishing an updated version on the Website. The changes take effect from the moment of publication.
11.3. Any disputes shall be settled through negotiations and, if no agreement is reached, through the courts in accordance with the legislation of Ukraine.
